Mr. Johnson started his legal career in the mid-1980’s on Wall Street with Shearman & Sterling, one of the world’s premier law firms. At Shearman & Sterling, he worked on high profile public offerings, cross-border transactions, international joint ventures, broker-dealer regulatory matters, commercial finance and mergers and acquisitions, including one of the very first purchases of a formerly state-owned enterprise in Hungary. He left Shearman & Sterling to serve as Associate General Counsel for Dole Food Company, the world’s largest producer and marketer of fresh fruits and vegetables, headquartered in Los Angeles.
At Dole Food Company, Mr. Johnson advised senior executives and the Board of Directors on corporate governance, securities law compliance, mergers, acquisitions and divestitures, as well as Risk Management, Human Resources, commercial loan agreements and ongoing compliance with financial covenants.
In addition to his transactional expertise, Mr. Johnson is a seasoned trial attorney, having litigated cases in both state and federal courts in Alaska, Arizona, California, Florida Hawaii, New York, Ohio, Oregon, South Carolina, Texas and Washington State.
He has served as lead counsel in numerous actions brought under PACA (the Perishable Agricultural Commodities Act), a highly effective collection tool for agricultural distributors. Mr. Johnson also defends companies in wrongful termination and other employee lawsuits. He has litigated matters in various arbitration forums and is a certified mediator versed in alternate dispute resolution methods.
Having advised companies both as outside counsel and as in-house counsel, and as both a transactional attorney and as a litigator, Mr. Johnson is able to bring to the table a unique perspective on the legal issues facing corporate management.
As a transactional attorney, Mr. Johnson understands the importance of “closing the deal”. As a trial lawyer, he has seen first hand how litigation can arise, thus giving him insight into how best to avoid similar litigation in the future.
